- NUBURU, Inc. completed a 1-for-40 reverse stock split effective 4:30 p.m. ET on September 1, 2026, to address NYSE American’s minimum-price requirement.
- Split-adjusted trading began September 2 on the OTC Pink Market under the temporary ticker BURUD. FINRA is expected to drop the “D” after 20 business days, after which the stock should trade again as BURU.
Every 40 shares were combined into one, reducing outstanding shares from about 370.5 million to 9.26 million. Ownership percentages and market cap were not materially changed except for fractional-share rounding. NYSE American suspended NUBURU and started delisting proceedings on July 17, 2026. The company appealed, with a hearing set for September 10. The reverse split does not guarantee a successful appeal or a return to NYSE American.
NUBURU is also advancing its planned purchase of a 70% controlling stake in Italy’s Tekne S.p.A., which operates in defense vehicles, electronic systems, and manufacturing. Closing is expected in the first half of October 2026, subject to remaining conditions. Tekne management identified about $148 million in remaining value from active orders. After excluding $12.6 million tied to higher cancellation risk, adjusted active remaining order value was about $135.4 million. That figure is preliminary, unaudited, and not guaranteed revenue or backlog.
